These Terms of Service ("Terms") govern your access to and use of the website, services, and related offerings of ExaVeyra Sciences ("ExaVeyra," "we," "us," or "our") located at exaveyra.com and our telehealth, wholesale partner, and concierge programs. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.

These Terms apply to both individuals and business entities (including clinics and licensed healthcare providers). Additional terms may apply to specific programs (e.g., wholesale partner agreements, telehealth consent forms). In the event of a conflict, program-specific terms control for that program.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. Our wholesale and partner programs are available only to licensed healthcare providers and entities that meet our eligibility criteria.

2. Services Description

ExaVeyra provides:

  • Informational website: Content about regenerative medicine, exosomes, peptides, medical devices, and our company
  • Wholesale supply: Sale of exosomes, biologics, small molecules, and medical devices to licensed healthcare providers under separate agreements
  • Telehealth & concierge: Consultation and care coordination services for individuals, subject to applicable state and federal law
  • Partner applications: Intake forms and application processes for wholesale and concierge programs

We reserve the right to modify, suspend, or discontinue any service or feature at any time. We will use reasonable efforts to provide notice of material changes.

3. Medical Disclaimer

The information on this website and provided through our services is for informational and educational purposes only. It is not intended to diagnose, treat, cure, or prevent any disease or medical condition, and does not constitute medical advice.

ExaVeyra is a supplier of regenerative medicine products and does not practice medicine. Our products—including exosomes, biologics, peptides, and certain medical devices—are supplied for use by licensed healthcare providers in accordance with applicable federal and state law. Product labeling, indications, and regulatory status (e.g., 503A/503B, research use, clinical use) vary by product and jurisdiction. It is the responsibility of the treating provider to determine appropriateness for each patient.

Individuals should consult a qualified healthcare professional before beginning any therapy, supplement, or treatment protocol.   • IN NO EVENT SHALL EXAVEYRA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES—INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL—ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

8. Indemnification

You agree to indemnify, defend, and hold harmless ExaVeyra, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of our services, (b) your violation of these Terms or any law, (c) your violation of any third-party rights, or (d) any content or information you submit or transmit through our services. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

9. Dispute Resolution and Governing Law

These Terms and any dispute arising out of or related to them or our services shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws principles. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of such courts.

Before initiating formal dispute resolution, you agree to first contact us and attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may proceed with formal dispute resolution.

10. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the parties.

11. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by us to be effective.

12. Entire Agreement

These Terms, together with our Privacy Policy and any program-specific agreements you enter into, constitute the entire agreement between you and ExaVeyra regarding our services and supersede any prior agreements, understandings, or communications.

13. Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. For material changes, we may provide additional notice (e.g., email or a prominent notice on our site). Your continued use of our services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using our services.
